Recall End User License Agreement

By installing or using Recall (the “Software”) you agree to this agreement. If you do not agree, do not install or use the Software.
1. License grant
1.1 Free. We grant you a free, non-exclusive, non-transferable right to install and use the Software in its free edition (“Free”) on any number of Macs you own or control.
1.2 Pro. If you buy Recall Pro, you receive a personal, non-exclusive, non-transferable, perpetual license to use the Pro features (“Pro”). “Personal” means the license is for one person, who may use it for private or work purposes.
- You may activate Pro on up to 3 Macs at a time, as enforced by the activation limit of our sales partner Polar. You can free an activation by deactivating Pro on a Mac.
- Pro covers all versions 1.x of the Software. Later major versions (2.0 and above) may require a separate purchase. Your Pro license for 1.x keeps working if you do not upgrade.
1.3 Purchases are made through Polar (polar.sh), which acts as merchant of record and seller. Polar’s terms apply to the purchase, payment, taxes, refunds and your right of withdrawal. This agreement governs your use of the Software.
2. Restrictions
You may not, except where the law expressly allows it:
- copy, distribute, rent, lend, sell or sublicense the Software or a license key, or share a license key with other people;
- decompile, disassemble or reverse engineer the Software (sections 40d and 40e of the Austrian Copyright Act, UrhG, remain unaffected);
- remove, bypass or tamper with the license check, the activation limit or copyright notices;
- use the Software for any unlawful purpose.
We and our licensors keep all rights not expressly granted. Third-party components (such as the Sparkle framework) are licensed under their own terms, which are listed in the app’s About window.
3. Privacy
The Software stores your file history only on your Mac and never reads file contents. Network use is limited to update checks (if you allow them) and license activation/deactivation with Polar. Details: https://recall.tim-neumann.dev/privacy.html
4. Warranty
4.1 Free edition: the Software is provided free of charge (“as is”). As it is provided without consideration, the statutory warranty (Gewährleistung) for contracts for value does not apply. We remain liable if we knowingly concealed a defect.
4.2 Pro: your statutory warranty rights (including, for consumers, the Austrian Consumer Warranty Act, VGG, for digital content, and sections 922 et seq. of the Austrian Civil Code, ABGB) remain unaffected. These rights are primarily owed by the seller, Polar.
4.3 The Software helps you find files but does not back them up. Keep your own backups.
5. Liability
5.1 We are liable without limitation for damage caused intentionally or by gross negligence, for personal injury (injury to life, body or health) regardless of the degree of fault, under the Austrian Product Liability Act (PHG) and other mandatory liability law, and under any guarantee we have given.
5.2 For Pro, in cases of slight negligence our liability for property damage and financial loss is limited to the damage that is typical and foreseeable for this type of contract.
5.3 As the free edition is provided free of charge, we are not liable for property damage or financial loss (including loss of data) caused by slight negligence; section 5.1 applies regardless.
5.4 Otherwise our liability is excluded to the extent permitted by law. Mandatory rights of consumers under the Austrian Consumer Protection Act (KSchG), in particular section 6(1)(9) KSchG, remain unaffected. These limitations also apply in favour of our agents.
6. Termination
Your rights under this agreement end automatically if you materially breach it. You may end it at any time by deleting the Software. On termination you must stop using the Software and delete all copies.
7. Governing law
This agreement is governed by Austrian law, excluding its conflict of laws rules and the UN Convention on Contracts for the International Sale of Goods (CISG). If you are a consumer, this choice of law does not deprive you of the protection of the mandatory consumer protection laws of the country where you habitually reside (including, in Austria, the Consumer Protection Act, KSchG).
If you are a consumer, the courts competent under statutory law have jurisdiction; if you have your residence, habitual abode or place of employment in Austria, section 14 KSchG applies. If you are a business (Unternehmer), the court with subject-matter jurisdiction at the Licensor’s place of residence (currently Putzing am See, Austria) has exclusive jurisdiction.
If any provision of this agreement is invalid, the remaining provisions stay in effect.
This agreement is available in English and German. In case of differences, the German version prevails.
